I gave up using i-tunes after a bad experience 6 months or so ago, but I have just checked and Media Monkey has a similar function. I have just converted one of my all time favourite albums to mp3 using it and it looks like all the tags, rating (and play counts) are intact. I will spend a couple of days giving it listening checks (can compare to the original as I have not over written) and if all seems Okay I might do the lot (will back-up files first if I do, I'm not quite that stupid),
